Australasian Incorporation Services Pty Ltd is part of the Sothertons Melbourne group and is responsible for the Corporate Secretarial activities of both Sothertons clients and where requested, of independent accounting and legal practitioners. Amongst other activities, it attends to company formations, maintenance of statutory registers and records, preparation of annual returns and reports, and registration and renewals of business names in all States. This division also attends to company searches and name availability for new companies.

Company Formation
We incorporate new companies electronically so processing is fast and efficient (companies are incorporated the same day instructions are issued). We offer a range of brochures and products that you will find helpful when commencing a new company.

Statutory Registers and Records
We maintain all the corporate registers of Sothertons Melbourne clients and where requested, those of others. We keep all corporate registers up to date electronically and all aspects of corporation law relevant to those registers are strictly adhered to.

Business Names
We attend to the preparation and lodgement of business names in all States of Australia. It also attends to the renewal of business names as and when required, throughout the States.

Company Searches
We undertake company searches through the Law Point system. This can provide useful information concerning the company status, directors, registered office, member details, auditor information and other legal matters pertinent to the company.

Name Availability
We can assist with the availability of either a proposed new company name or the availability of a business name.

Corporate Lodging and Changes to Companies
We can electronically lodge corporate documents with ASIC and other local statutory authorities for all companies, and where requested for independent accounting and law offices and their clients. We can also attend to the preparation and lodgement of any documents that are a result of necessary changes that occur to companies throughout the year.

Credit Card Facilities
Sothertons Melbourne offers credit card facilities. These facilities are available for Sothertons fees only. ASIC and other external charges need to be remitted by cheque. The costs of company incorporation can be paid by credit card (Please note that no additional charge is incurred when payment is made by credit card).

Public Company Accounting Oversight Board
The Public Company Accounting Oversight Board is a US public sector, non-profit organisation created by the Sarbanes-Oxley Act 2002 ( U.S.) to oversee the auditors of U.S. public companies. Its mission is to protect the interests of investors and further the public interest in the preparation of informative, fair and independent audit reports.

The Act prohibits accounting firms that are not registered with the Board from preparing or issuing audit reports or participating in audits on U.S. public companies and their subsidiaries.

The Act also provides that any non-U.S. public accounting firm which prepares or furnishes an audit report with respect to any U.S. public company, or plays a substantial role in the preparation of such a report, is subject to the Board's rules to the same extent as a U.S. public accounting firm.

As of June 2009 almost 2000 accounting firms were registered with the Board, of which 43 are Australian. Sothertons Melbourne is one of those firms.
